Choice of Law and Forum Selection

by Practical Law Canada Commercial Transactions
This Practice Note discusses choice of law and choice of forum issues that parties should consider when drafting contracts. The choice of law clause, also known as the governing law clause, allows the contracting parties to choose the substantive law of the appropriate province or territory (or foreign jurisdiction) to apply to the contract. The forum selection clause, also known as the choice of forum selection or submission to jurisdiction clause, allows the contracting parties to confer personal jurisdiction on the courts of the appropriate jurisdiction to adjudicate disputes under the contract.
