Glossary

Self-Perpetuating Board

Means a not-for-profit (NFP) organization in which all directors are members and there are no members other than the directors. If a self-perpetuating board structure is adopted, the board is impervious to being overthrown by a dissident group of members. Also called a director-driven structure or closed membership.
